Training Background

Effective whistleblowing systems are indispensable for good compliance management. This fact also applies in China, where regulation of the matter is increasing rapidly.

High profile cases of corporate fraud, corruption, and other forms of malfeasance have highlighted the importance of addressing the importance of installing an effective system for whistleblowers and their protection in corporate China, where this issue has gained momentum and has become a key consideration for management and compliance officers. Although a formal, standalone ‘Whistleblower Act’ has not been introduced yet in China, various other regulatory and administrative acts have been released in the past years, indirectly protecting whistleblowers and thus reinforcing the need for establishing an adequate system.

On top of that, a large number of companies falling under the scope Germany’s new Supply Chain Due Diligence Act are now obligated by law to implement a mechanism for receiving and handling complaints regarding alleged violations of the Act’s provisions on human rights and environmental protection. Things will get even more challenging once the proposed draft for a new Whistleblower Protection Act will be implemented in Germany, requiring an even larger number of companies to establish whistleblower systems covering far more than just supply chain due diligence.

Course Introduction

Whistleblowing is a critical topic for any organization. When employees or any other insiders report illegal, unethical, or damaging practices within a company, they can help to prevent harm to the public, protect other employees, and preserve the reputation and financial stability of the organization. However, whistleblowers often face significant risks, including retaliation from their employers, social stigma, and legal repercussions.

In this seminar we will explore the complex and often challenging issues surrounding whistleblowing in corporations. We will examine the legal protection available to whistleblowers, the potential costs and benefits of reporting, and the ethical considerations that employees and managers must weigh when deciding whether to speak out.

We will further draw on case studies and real examples to illustrate the challenges and opportunities of whistleblowing. By the end of the seminar, you will have a deeper understanding of the complex ethical and practical issues involved in the topic, and be better equipped to navigate these challenges in your professional context.

Training Objective

The course is designed to provide the audience with a solid understanding of the regulatory requirements and underlying legal acts when it comes to whistleblowing actions by employees. Participants will further learn and understand how to setup a system that that can be used in corporations to encourage employees to come forward anonymously and how to protect them against retaliation.

There are only few single topics that have gained so much attention and at the same time are subject to so many misconceptions as the extremely wide concept of compliance. Often understood as following specific legally binding rules from fields such as anti-corruption and bribery, taxation, environment, employment, data and cybersecurity etc. But to achieve a certain ‘state of compliance’, the notion of compliance encompasses far more than just observing applicable laws and regulations.

It is a comprehensive and separate management system within organizations that consists of clearly defined policies, controls and procedures implemented in response to the numerous risks the organization is exposed to from the inside and the outside. Compliance is about developing and maintaining a ‘culture of compliance’ within the organization and to constantly monitor, test and adjust the existing system where necessary.

Course Introduction

Conflicts of interest (COI) are one of the most common business issues in mainland China. A COI is where one or more employees set up third-party companies (or establish relations with existing companies) to personally profit from insider information or benefit from increased business, discounts and rebates. Our research shows that even companies that have been operating in China for more than ten years have at least a 75% chance of COI issues. Resolving COI issues is challenging given the unique commercial and legal environment in mainland China.

Resolving a COI should be managed as a challenge to business continuity rather than a strictly legal issue. The company is likely to need to provide some form of compensation in order to remove an employee while minimising risk. It is critical to develop an intelligence-based assessment of the risk to business continuity and create an execution plan to mitigate and minimise that risk

Target audience

Legal heads, finance heads, GM level and above from manufacturing industries.

Training Content

From this session you will be able to

  • The difference between the legal due diligence and the business continuity perspective
  • Risks, advantages and disadvantages of due diligence from different angels
  • Guided with a proper methodology and execution plan
  • Case studies
